CONSTITUTION AS AT SEPTEMBER 2023

1. NAME

The name of the Club is the Randwick Bridge Club.

 

2. OBJECTIVES

To stimulate interest and proficiency in and promote the development and mastering the game of bridge by:

[a] Organising bridge tournaments;

[b] Engaging in such other activities in the field of bridge and associated card games as the General Meeting of the Club shall at any time and from time to time deem fit.

3. MEMBERSHIP

[a]  Membership shall be open to any person, admitted to membership by the Committee, which shall have full discretion in deciding upon admission;

[b] A person admitted to membership shall not become a member before paying the annual membership subscription.

4. SUBSCRIPTIONS

[a] Members shall be liable to pay the annual subscription for the year commencing 1 January by the 1st day February of each year;

[b] The Committee may from time to time determine the amount of the normal annual subscription

5. ANNUAL GENERAL MEETING

The Annual General Meeting of members shall be held once each year no later than the 31st day of December for the following purposes:

[a]   to receive and consider the Annual Report of the Committee;

[b]   to elect the Committee;

[c]  to consider any resolution moved and seconded in writing by any members, and submitted to the Committee 2 weeks before the date of the Annual General Meeting, or any resolution of which the members have had 14 days’ notice in writing; and

[d]    to consider any matter submitted by any member to and at the Meeting, with the consent of the Meeting.


6. EXTRAORDINARY GENERAL MEETING

Any General Meeting other than the Annual General Meeting shall constitute an Extraordinary General Meeting.

[a]    The Committee may - and upon a requisition signed by not  less than 10% of the members - the Committee shall convene an Extraordinary General Meeting.

[b]     The requisition to convene an Extraordinary General Meeting shall state the purpose for which the Meeting is to be called.

[c]  The notice convening the Extraordinary General Meeting shall state the purpose(s) for which the

Meeting is to be called, and no other matter shall be dealt with at the Extraordinary General Meeting concerned.

7. PROVISIONS APPLICABLE TO GENERAL MEETINGS

[a] At least 14 days’ notice shall be given to all members. Notice may be given by display on the Club's notice board.

[b]   A quorum shall be at least 3% of the members present in person.

[c]   The President, or a Committee member delegated by the President, will chair the Meeting.

[d]   A member may vote in person or by giving a written proxy to another member.

8. COMMITTEE

[a]   The management of the Club shall be vested in the Committee, consisting of a President, Vice-President, Honorary Secretary, Honorary Treasurer, and up to three other members.

[b] The Committee shall at all times be subject to the control and direction of a General Meeting.

[c]      The Committee shall be elected at every Annual General Meeting, and hold office until the conclusion of the election of the Committee at the next Annual General Meeting.

[d]      The President has a casting vote in the event of a tie in Committee meetings.

9. FUNDS

[a]      The Committee shall have the power to receive and disburse moneys and other assets in furtherance of the objectives of the Club

[b]      A statement of receipts and expenditure to the previous 30 June shall be presented at the Annual General Meeting.

[c]      In the event that the Club should be wound up, any remaining funds will be donated to a registered charity determined by the committee.


10. TOURNAMENTS

The Committee shall appoint one or more Tournament Directors who shall be empowered to enforce the rules and etiquette of the game. The decision of such a Tournament Director shall be final, subject to the right of appeal to the State or National body, as set out in the regulations of those bodies, and in the Laws of Duplicate Contract Bridge.

11. SUSPENSION AND EXPULSION OF A MEMBER

[a]  It shall be the duty of the Committee, if they shall be of the opinion that the interests of the Club so require, to suspend membership or to request a member to resign within a given period.

[b] Members leaving during a bridge competition, without a reason approved by the Director, will be suspended for three months.

[c]  The member concerned will be allowed to give an explanation to the next Committee Meeting. If this explanation is not accepted by the Committee, membership of the member concerned will cease, or the suspension will be confirmed.

[d] An expelled or suspended member has the right of appeal to the General Meeting.

12. ALTERATION OF THE CONSTITUTION

This Constitution may be added to, repealed, or amended by resolution at a General Meeting, provided that 14 days’ notice of the alteration has been given to members, as set out in clause 7[a].
